Stichting Administratiekantoor TKH Group holds ordinary shares in the company, issuing depositary receipts of shares in exchange.
Stichting Administratiekantoor must provide the holders of depositary receipts of shares with the associated voting rights if requested to do so.
Stichting Administratiekantoor is not required by law (article 2:118a of the Netherlands Civil Code) to grant the proxy, or may withdraw a proxy that has been given, if:
- A hostile public offer is announced or made or is expected to be made.
- One or more persons possess at least 25% of the depositary receipts of shares and/or shares.
- The voting right of a holder of a depositary receipt of shares is fundamentally in conflict with the interest of the company.
